Ok, could you please go through the exact steps you are using to do this install?
PS: I found some info that leads to possible RAM problems....if you have multiple sticks, or more of the correct kind try swapping it.

I had a similar problem I had.
After I installed Windows 98SE I got an error when it rebooted for the first time saying something similar to "Windows Critical Error, You Must Restart Your System" and it was faulty RAM.
Looks like you need to test what RAM module(s) are/is faulty and buy a new RAM module for your system.

what was the exact wording of the error message, and what had you done previously to that. Often, especially in windows, there are a couple of key words in the error message, so unless you write the whole thing verbatim it may be hard to tell

Sometimes the wrong HardDrive parameters in BIOS or some abnormal settings in the partition table causes the same message. Check settings in the BIOS and Partition table(run fdisk).

okay, i may be a bit too late to help you, but when i was installing win 98 on a k62 450, i had an errror message after the reboot, the only way around this was to underclock the cpu to about 200, or to download and run a patch from microsoft somewhere.... It was crashing because 98 was not desgned well enough to handle a 'fast' (or it was at the time) CPU, and so needed to be either slowed down, or patched!
