Have you done anything to the puter in the past week like upgraded hardware or software? Added any new software? Downloaded any files? Opened the case or moved the pc? Any beep codes on post besides the normal one beep? Sounds like an unseated memory module or video card. Quite possibly a virus. Try to enter the BIOS and confirm the settings there. Since you can't boot up you can't get to the device manager to check for conflicts. I'd suggest properly discharging yourself and opening the case to look for any loose connections (cables, cards and power supply connectors). Try reseating the memory module(s) and other cards. Could also be a dieing power supply unit.
Using Google www.google.com (http://www.google.com) I found several hits pertaining to the "xms error" that indicates a problem with the memory module(s). Try putting in some known good memory of the same specs.
Post back with your findings or if you need additional help http://www.PCGuide.com/ubb/smile.gif

Many thanks for the reply
Well, I am hundred percent sure, that the problem is not Software related. This is how i figured it out.
1. I took out the hardisk from my troubled pc and put it in another system. It booted without any problem only for new hardware found thing that i cancelled.
2. i took another, completely fresh harddisk and tried to install Windows on it using the troubled computer. The setup stops at where it restarts after copying the files and boots in safemode. not detecting any devices ofcourse.
3. But one very interesting thing happened. i took the harddisk from my working computer and tried it on the troubled computer. At first it booted without any trouble only asking for new devices that i cnacelled. but next time i tried to boot the same thing happened as with the previous HDs.
4. Then i checked for the faulty videocard. i tried another VGA card. but with the same result. i have removed all devices like sound card modem from my system. i have checked the card on the troubled PC with other PCs but there is no problem.
What really happened was that the day before it happenned I used my PC without any problem but on that day when i tried to boot it hanged after showing WIN98 screen,(where it shows the devices). i only restarted my system. ang then it started to reset. Sometimes it hangs there and sometimes it resets and starts in Safemode

Given what you have posted I believe you have faulty RAM module in there. Try a different SDRAM module and your problems will probably go away.
