I have an ATX style mid-sized tower, but it's only 333mhz with 32mb of RAM and about 2gb of drive. I was trying to figure out what motherboard/cpu combo I could safely install....Being that it's an ATX tower, shouldn't any of the new motherboards fit? From what I've read so far, a 300 watt power supply should be plenty for just about any system, right? What else do I need to really worry about?

Welcome jshaver...

Go for it. With an ATX mid-tower case.

Choose a new Mboard that you like, look at the specs
on it, at the very end of the specs it will say ATX style
and give it's diminsions. Hard to find the real small
Mboards any longer such as Micro-ATX.

Most Mboard trays in the case will have multiple choices
for mounting of the board.

As PC's today are carrying so much hardware a 300W PSU
is getting to be on the light side. Better to
go as far as possible up the scale on this item.

An intake fan in the front and an exhaust fan mounted in
the rear.

Don't skimp on the Heatsink/Fan combination.

cool....I just found a 1.3 ghz Duron for $95, and a 10gb hard drive for $99. Power supplies are pretty cheap too.
