I have an IBM Processor is AMD-K6 300mhz and OS is windows 98

Sounds like a video driver issue. Trying to run the video card on the driver for another card? NT driver on a win 98 machine? Something like that. See if you can get it to work in Safe Mode and check device manager. If you still have the old video card showing up, remove it. I would remove all video cards and reboot, let Windows find and reinstall the right card.
Since you have been able to get the ATI to work somewhat, you might try using it, boot into Safe Mode and remove all video cards, then shut down and switch to the other one. If it won't work, go back to the ATI and try it. Whatever way it turns out to work, you want to boot the first time with no video cards showing in Device Manager, so before swapping, boot into Safe Mode and remove it. That way hopefully windows will find and install the right card with no ghost drivers to cause problems.
