i don't remember if it was the same for win95 but can you shut down by pressing ctl-alt-del and pressing the shut down button in the window that pops up.
Also what exactly happens when you want to shut down. Does the system not respond at all? does your screen dimm but never actually shuts down? Usually when you want to shut down first the screen dimms then you hear hard drive noise: when exaxtly do you notice that nothing is happening?

If you try the three-fingered-salute (ctl-alt-del) after you close your programs, are there still more than 3 services listed (antivirus, comm. programs, etc)? If one of them is Norton (navapw or similar) try ending that task first before shutting down. Also, if you are on a network (peer-to-peer or client/server) the drivers are not being unloaded properly for that NIC (network interface card). You can get the latest drivers directly from the manufacturers websites.
Lastly, has it been exhibiting this behavior constantly or recently?

Step by step here . http://www.aumha.org/a/shutdown.htm
Try booting to dos and shutting down; if that works you can put a batch file on the desk top to shut down.
