I am dealing with an ASUS PC ruuning on Win98se. On booting it, it loads all system files except the win.com. I can however boot in Safe Mode and I suspect the CD-ROM might be the cuplprit.

Can anyone help?

Virus very likely, since you can get ok into safemode, which uses Win.com (with a /D switch) to load windows.
