BSOD after POST

My system is a 333Mhz Intel Pentium II MMX Processor i440LX chip set award bios V4.51PG Bios string i440LX-BD2A69JD49C-00
128MB SDRAM
Microsoft Windows 98 4.10.1998 With all available updates
Drive C: 8433MB of 14654MB (FAT32) Western Digital caviar 15 Gb 7200 rpm
Drive D: 3017MB of 7648MB (FAT32) Quantum Big Foot 8 Gb 5400 rpm
Drive E: IOMEGA Zipcd CD Rewrite Drive
Drive F: Toshiba DVDROM


My problem is I get a BSOD error message that reads:

Windows
A fatal exception OE has occurred at 0028:00000055.
The current application will be terminated
*press any key...
*press CTRL+ALT+DEL again...

I just press any key. The windows desktop comes up with nothing on it but the wallpaper Than I CTRL+ALT+DEL and choose shutdown and the only operation running is Vshwin32
This is happening after the POST and right after the Mcafee splash screen but before windows starts to load
It does this about 30% of the time.

I found my problem vshwin32.exe is my virus scan and it was starting twice the second time it crashes windows

Edit: I forgot to add that the way your presented your question was excellent...tons of the right info for TS'ing...Hope you'll stick around...sometimes it seems quiet around here, given that there is over 3500 pals here you'd think it would be hopping constantly....still quite a bit more active than other forums I've seen...I guess people's problems are few now since they've found the PC Guide and the PC Guide Forums (I'd like to think that http://www.PCGuide.com/ubb/biggrin.gif )
