i have a ASUS P4SD-LA mobo is this a decent board?

Yes if you're not going to be doing any gaming, but this board is highly unfriendly with advanced video cards as you cannot adjust the AGP Aperture size.

Comes OEM with the HP Pavillion a450n, am I right?

its oem on my hp a340n so its not a good gaming board? it cant be overclocked ect

An HP system most likely doesn't have the BIOS setings to overclock anything!
