I've used a number of those tools for a long time--ProcessExplorer, for example--I've been out of the loop for a while and just found out today. To quote Mark:

Microsoft is still evaluating the best way to leverage the many different technologies that have been developed by Winternals. Some will find their ways into existing Microsoft products or Windows itself and others will continue on as Microsoft-branded products. As for Sysinternals, the site will remain for the time being while Microsoft determines the best way to integrate it into its own community efforts, and the tools will continue to be free to download.

Translation: The big fish eats the little fish. What comes out in the end? Well, usually crap. Such is the way of the animal world...and the way of M$ business.

Sysinternals' relationship with M$ seemed to be pretty tight. Mark Russinovich was on a Microsoft Technet webcast regarding rootkits and providing instructions on how to use Sysinternals' Rootkit Revealer and appears to be a regular instructor there...
