Does anyone know the limit on the # of members in an Active Directory group and why is that the limit?

The last time I looked the recommended size was 5000 members.

The reason you limit the size of anything in a replicating directory is to limit the amount of time and the size of updates to other computers that hold copies of the directory. This is really important when the replication has to take place across WAN links.
