CPU and Motherboard Replace

if I were to replace an AMD Athlon 64fx cpu and MSI K8N Neo4(nvidia chipset) mobo, with? and reusing existing components including a GeForceFX 5500 oc video card what compatability issues will there be, i.e., mem etc, what would be the cheapest easiest way to go, and replacement suggestions?

What's your budget? Reusing such an old card isn't a good idea since its AGP and new mobos these days come with PCIe x16... What are you using this PC for?

lets say a mobo cpu combo for $200
and whats a mid grade video card run today, I do a minimal amount of gaming,

You won't be able to reuse things such as your RAM and PSU. You're better off building a new system.
