Did you click through on this link?
http://support.microsoft.com/default.aspx?scid=kb;en-us;Q273746

And did you run through all the procedures, disabling all your programs that run at startup?

A Windows protection error that shows up at shutdown can be pretty hard to track down, you basically have to turn off one thing at a time until you find it.

what non windows soft ware you running? did you add any lately?running cacheman?
you might try removeing your last few soft ware programs and clean the registry and see if that works. back up the registery allways befor any edditing is done.
there is anther thing you can try and that is to right click on the icons in task bar beside the clock and chose close. next click ctrl, alt, delete and shut off every thin in task manager except system tray and explorer. than shut down this usaly corects most shut down problems in m.e
have a nice day

Don't know if this applies or not, but you might glance through this Shutdown troubleshooter (http://www.aumha.org/a/shutdown.htm) and see if you have recently installed any of the items listed specifically under the ME section (http://www.aumha.org/a/shtdwnme.htm).
